  • Previous service agreements remain governed by terms in effect at time of agreement

2. SERVICES PROVIDED

  • Residential construction (single-family, multi-family, renovations)
  • Commercial construction (offices, retail, restaurants, warehouses)
  • Industrial construction (manufacturing, facilities)
  • New construction and renovation projects
  • All construction trades and specialties

Geographic Coverage:

  • All regions of New York State
  • NYC (all five boroughs)
  • Long Island (Nassau and Suffolk Counties)
  • Upstate New York
  • Westchester and surrounding areas

2.2 What Our Services Include

2.3 What Our Services DO NOT Include

Unless explicitly requested and agreed upon:

3. CLIENT RESPONSIBILITIES

3.1 Required Project Information

To provide accurate estimates, you must provide:

  • ✅ Project type and intended use

  • Material specifications or preferences
  • Timeline requirements
  • Any special requirements (union labor, specific materials, etc.)

3.2 Document Quality Requirements

You are responsible for ensuring:

  • Plans are complete, legible, and to scale
  • Plans represent current project scope (not outdated versions)
  • All addenda and revisions are included
  • Specifications are clear and non-contradictory
  • Any ambiguities are clarified before estimate completion

If documents are inadequate:

  • We will notify you and request clarification
  • Estimate accuracy may be affected
  • Additional fees may apply for re-estimating with corrected documents
  • We may decline to provide estimate if documents are insufficient

3.3 Information Accuracy

You represent and warrant that:

  • All information provided is accurate and complete
  • You have the right to share project documents with us
  • Project information is current and represents actual intended scope
  • You have disclosed any special requirements or constraints
  • You have authority to request estimates on behalf of your company/client

3.4 Timely Communication

You agree to:

3.5 Prohibited Uses

Actual construction costs may vary significantly from our estimates due to factors beyond our control.

4.4 Factors Affecting Actual Costs

  • Escalation for future construction dates beyond 90 days
  • Financing costs and interest during construction

  • Normal site access for trucks and equipment
  • Utilities available at property line
  • Standard working hours Monday-Friday (no premium overtime)
  • Adequate skilled labor availability
  • Material availability without extended lead times
  • Stable market conditions for 90 days from estimate date
  • No extraordinary site conditions (rock, high water table, etc.)
  • Standard soil bearing capacity
  • No environmental contamination

4.6 Understanding Estimate Limitations

By accepting our estimate, you acknowledge:

  • Estimates are educated professional opinions, not guarantees
  • Many factors affecting costs are outside our control
  • We use best available information at time of estimate
  • Market conditions change constantly
  • Contractor pricing strategies vary widely
  • Actual costs may be higher or lower than estimated
  • You should obtain multiple contractor bids
  • You should include contingency in your budget
  • Additional investigation may reveal cost factors we couldn’t anticipate

5. PRICING & PAYMENT TERMS

5.1 Service Fees

Pricing is based on:

  • Project complexity (number of trades, detail level)
  • Estimate type (preliminary, detailed, bid)
  • Turnaround time required
  • Trade specialization requirements
  • Document completeness

5.3 Payment Terms

All Sales Are Final – No Refunds

For Large Projects (≥$2,000 fee):

  • 50% deposit due before estimate work begins
  • 50% balance due upon estimate delivery
  • Balance payment due within 15 days of invoice date

For Rush Services:

  • 100% payment due before rush estimate begins
  • Rush fees are non-refundable

IMPORTANT: Once you accept our service quote and we begin work on your estimate, all fees are non-refundable. This is because our time, expertise, and resources are committed to your project immediately upon acceptance.

5.4 Payment Methods

  • Bank transfer/ACH
  • Credit card (processing fees may apply)
  • PayPal or other electronic payment (if agreed)

5.5 Late Payment

If payment is not received by due date:

  • Late fee of 1.5% per month (18% annual) applied to overdue balance

  • We reserve the right to pursue legal remedies for unpaid invoices

5.6 Disputed Charges

If you dispute charges:

  • Notify us in writing within 10 days of invoice
  • Provide specific reason for dispute
  • Undisputed portion must still be paid

  • Payment disputes do not stop late fees on undisputed amounts

Note: Disputes about estimate accuracy are not grounds for non-payment. Our fees are for professional estimating services rendered, not for guaranteeing construction costs.

6. TURNAROUND TIME & DELIVERY

6.1 Standard Turnaround

Typical turnaround times:

  • Small Residential Projects: 2-3 business days
  • Medium Projects: 3-5 business days
  • Large/Complex Projects: 5-10 business days
  • Very Large Projects: 10-15 business days
  • Specific timeframe agreed upon in service quote

Turnaround begins when:

  • Payment received (if required upfront)
  • All required documents provided
  • All clarification questions answered

6.2 Rush Services

Expedited turnaround available:

  • 24-hour rush service: +50-100% fee premium
  • 48-hour rush service: +25-50% fee premium

  • Not available during peak periods (year-end, major bid deadlines)

6.3 Delays

Turnaround may be extended if:

We will notify you promptly of any delays and provide revised delivery date.

7. INTELLECTUAL PROPERTY

7.2 Your License to Use

You may NOT:

  • Resell estimate to other contractors

  • Modify cost figures and represent as our work
  • Remove our company name/logo from estimate
  • Claim estimate as your own work
  • Use our methodologies for your own estimating business

7.3 Your Project Documents

Documents you provide to us:

  • Remain your property (or your client’s property)
  • Are used solely for preparing your estimate
  • Are treated as confidential (see Section 8)
  • Will be returned or securely deleted upon request
  • Are protected under our Privacy Policy

7.4 Trademarks

Our business name, logo, and branding:

  • Are trademarks of NYC Estimating Services
  • May not be used without written permission
  • May appear on estimates we prepare
  • Indicate the estimate was prepared by us

8. REVISIONS & CHANGES

8.1 Included Clarifications

Minor clarifications included at no charge:

  • Correcting mathematical errors on our part
  • Clarifying line items or assumptions
  • Formatting adjustments
  • Fixing typos or clerical errors

8.2 Scope Changes Requiring Additional Fees

Additional fees apply for:

  • Scope Changes – Adding/removing work from original scope
  • Design Changes – Revisions to plans after estimate completion
  • Alternative Estimates – Pricing different material options or methods
  • Re-Estimating – Creating new estimate for changed project
  • Quantity Revisions – Recalculating based on plan revisions

Fee structure for revisions:

  • Minor revisions: $100-$500 depending on extent
  • Moderate revisions: $500-$1,500
  • Substantial revisions: May require new estimate quote
  • Discussed and agreed upon before revision work begins

Revision fees are non-refundable once work begins.

  • Our supplier and subcontractor relationships
  • Our proprietary processes

9.2 Non-Disclosure Agreements

We readily execute NDAs:

  • For sensitive or high-profile projects
  • When required by your clients
  • For government or institutional projects
  • Contact us to arrange NDA before submitting documents

9.3 Exceptions to Confidentiality

We may disclose information when:

  • Required by law or court order
  • Necessary for subcontractor quotes (with your permission)
  • For quality control with our staff (internal use only)
  • To our accountants/lawyers (under confidentiality)
  • To defend legal claims

9.4 Document Handling

  • Construction cost variance is normal and expected in the industry

No Guarantee of Estimate Accuracy:

  • While we strive for accuracy, we cannot guarantee exact costs
  • Many factors affecting final costs are outside our control and impossible to predict
  • Market volatility, material shortages, and labor availability affect pricing
  • Each contractor’s pricing strategy and overhead structure varies
  • Hidden conditions often emerge during construction

No Guarantee of Bid Results:

  • Contractors may bid significantly higher or lower than our estimate
  • Contractor pricing strategies, availability, and workload affect their bids
  • Market competition and contractor interest in project affect bid pricing
  • We have no control over contractor pricing decisions
  • Receiving bids higher than our estimate does not mean our estimate was wrong

No Warranty of Completeness:

  • We estimate based solely on documents and information you provide
  • We cannot account for information not provided or unavailable
  • We cannot predict all site conditions without physical investigation
  • We cannot foresee all potential project changes or complications
  • Hidden conditions in renovation work are impossible to estimate without demolition

No Construction or Engineering Advice:

10.3 “As-Is” Service

12. CANCELLATION POLICY

12.1 No Refunds – All Sales Final

IMPORTANT: All estimate fees are non-refundable once service quote is accepted.

This policy exists because:

  • Our time and expertise are committed to your project immediately upon acceptance
  • We may decline other work to accommodate your project
  • Professional estimating services are performed work, not tangible products
  • Research, analysis, and calculations begin immediately

12.2 Cancellation Before Work Begins

If you cancel BEFORE we begin work on your estimate:

  • You must notify us in writing (email acceptable)
  • If we have not yet started analysis, we may offer a courtesy credit for future services
  • No refund will be provided, but credit may be applied to future estimates
  • Credit valid for 6 months

“Work begins” means:

  • We have opened and reviewed your project documents
  • We have begun quantity takeoffs or cost analysis
  • We have researched pricing for your project
  • We have allocated estimator time to your project

12.3 Cancellation After Work Begins

If you cancel AFTER we have begun work:

  • No refund or credit available
  • Full payment is due as agreed
  • Partially completed work may be provided at our discretion
  • You remain obligated to pay all fees

12.4 Project Changes After Quote Accepted

If your project scope changes significantly after you’ve accepted our quote:

  • Original quote may no longer apply
  • New quote required for changed scope
  • You may decide not to proceed with changed scope
  • No refund of fees for original quote
  • We may offer credit toward new quote at our discretion

12.5 Cancellation by NYC Estimating

We reserve the right to cancel and decline service if:

  • Required information is not provided within 30 days
  • You fail to respond to critical clarification requests
  • Payment terms are not honored
  • We discover project involves illegal activity
  • We determine we cannot complete estimate accurately with available information
  • Documents provided are insufficient for professional estimate

If we cancel due to your non-performance:

  • Deposit paid is forfeited
  • No refund provided
  • You remain responsible for any fees due

If we cancel due to our inability to perform:

  • Any deposit paid will be returned
  • No further obligations
  • We return your project documents

12.6 Unsatisfactory Service

If you are dissatisfied with estimate quality:

  • Notify us within 10 days with specific concerns
  • We will review your concerns and respond
  • We may offer to address specific calculation errors
  • We may offer credit toward future services at our discretion
  • No refunds will be provided

Disagreement with estimated costs or contractor bids coming in higher than our estimate does NOT constitute grounds for refund.

13. INDEMNIFICATION

13.1 Your Indemnification of Us

You agree to indemnify, defend, and hold harmless NYC Estimating Services, its owners, employees, and agents from:

  • Claims by your clients arising from your use of our estimate
  • Claims that you provided inaccurate or incomplete information to us
  • Claims arising from your misuse or unauthorized sharing of our estimate
  • Claims from construction projects where our estimate was modified without our approval
  • Claims from projects outside the scope we agreed to estimate
  • Claims arising from your breach of these Terms
  • Claims from your clients, contractors, subcontractors, or suppliers related to cost differences
  • Legal fees and costs incurred defending against such claims

13.2 Our Indemnification of You

We agree to indemnify you from claims that:

  • Our estimate violates third-party intellectual property rights
  • Arise solely from our gross negligence or willful misconduct

Subject to:

  • The liability limitations in Section 11
  • Your prompt notification of any such claim
  • Our right to control the defense of such claim

14. SPECIFIC DISCLAIMERS FOR CONSTRUCTION INDUSTRY

14.1 Not a Contractor

We are professional estimators, not construction contractors:

  • We do not perform construction work
  • We do not supervise construction
  • We do not warrant constructability of designs
  • We are not responsible for means, methods, or construction techniques
  • We do not provide construction management services
  • Hire properly licensed contractors for actual construction work

14.2 Not Engineers or Architects

Unless our staff includes specifically licensed professionals:

  • We are not providing professional engineering services
  • We are not providing architectural design services
  • Estimates do not constitute engineering review or approval
  • Estimates do not constitute architectural design review
  • Hire licensed professional engineers and architects for design and engineering

14.3 Building Code Compliance

Regarding building codes:

  • We account for typical code requirements when estimating costs
  • We do NOT provide code compliance certification
  • We do NOT interpret building codes or provide code consultation
  • We do NOT perform code compliance reviews
  • Building officials have final authority on code compliance
  • Hire code consultants or architects for code compliance certification

14.4 Permit Requirements & Fees

Regarding permits:

  • Permit fees in estimates are based on typical requirements and published fee schedules
  • Actual permit fees may vary
  • Building departments may require additional work or studies we didn’t anticipate
  • Permit approval is never guaranteed
  • Permit processes and requirements change frequently
  • Verify all permit requirements directly with the local building department

14.5 Union vs. Non-Union Labor

Regarding labor costs:

  • We can estimate either union or non-union labor costs
  • You must specify which type applies to your project
  • Union requirements vary significantly by project location and type
  • Union labor typically costs 20-40% more than non-union in NY
  • Compliance with union requirements is your responsibility, not ours
  • We do not provide legal advice on labor law or union requirements

14.6 Prevailing Wage (Government Projects)

For government/public projects:

  • Prevailing wage rates apply to most government-funded projects
  • We can estimate using prevailing wage rates if you specify
  • Prevailing wage rates change quarterly
  • Compliance with prevailing wage law is your responsibility

14.7 Site Conditions & Subsurface Work
